Most lawyers graduate from law school without having ever gone through (much less drafted) an actual contract. This program is designed to introduce the basic building blocks of a contract and to assist both newly admitted and seasoned attorneys with drafting, analyzing, and interpreting contracts. This course focuses on the manner in which concepts are expressed in a contract, rather than the substance of any provision or contract in particular. Areas of focus will include: basic types of provisions such as defined terms, representations and warranties, conditions precedent, covenants, and remedial provisions. The course will also cover basic contract drafting conventions, the best ways to identify and use precedents and avoiding legalese.
