Securing Your Lease: Is Your Good Guy Guaranty Worth the Paper It's Printed On?

This course will provide an in-depth analysis of Good Guy Guarantees in the context of commercial leasing. The program is designed for attorneys, commercial landlords, and tenant representatives to better understand the enforceability, application, and negotiation of Good Guy Guarantees, which are often used to incentivize the responsible vacating of commercial space. Participants will explore the legal foundation of Good Guy Guarantees, including their purpose, key provisions, and how they differ from traditional guarantees. This course will cover the drafting and negotiation strategies, recent case law, and enforceability challenges under New York law, focusing on issues such as scope and surrender triggers. Format will include a mock negotiation by and between two transactional attorneys, and then the litigators will discuss and debate how the courts have and will enforce guarantees based on the terms and circumstances.

Key topics to be discussed include:
*     Good Guy Guarantees: What are they, why they are used, and how they function in commercial leases
*     Key Provisions in Good Guy Guarantees: Triggers for enforcement, timing of notice, and tenant obligations.
*     Challenges to Enforceability: Common Disputes involving Good Guy Guarantees Recent Case Law: Analysis of relevant New York court decisions that have impacted the enforceability of Good Guy Guarantees including: 122 East 44th Street, LLC v. Scharf and Empire LLC v. Shaparov.
*     Drafting Best Practices: Tips for drafting and negotiating Good Guy Guarantees to ensure enforceability and protect the rights of both landlords and tenants.
