This three-part webinar series introduces the basics of contract drafting, review, and negotiation. Participants will learn the nuts and bolts of contract drafting, starting with the overall structure, drafting language, defined terms, and key contractual provisions. From there, the series will take a deeper look into common contract-drafting pitfalls and the best way to avoid these issues from a litigation perspective. Some topics include ambiguity, boilerplate provisions, indemnification, insurance requirements, arbitration clauses, forum selection, and other important terms. Finally, the series will examine effective contract negotiation and recent developments and emerging trends, including the pros and cons of “adversarial drafting” and the growing role of AI and contract automation in the present and future. Overall, through practical examples and sample agreements, participants will see specific contractual provisions and gain practical information that will help them understand, draft, and review contracts in a way that minimizes ambiguity and potential disputes.
