Description:
The first segment of this program will include a review of the material provisions in the New York LLC Law that relate to a member’s potential liability, focusing on single member LLCs. This first segment will also cover the potential personal liability of a sole practitioner as the single member of a professional service LLC practicing law in New York. The second segment of this program will explore the potential application of the “piercing the corporate veil” doctrine to single member LLCs under New York law, including the factors that may lead to such piercing, as well as related topics such as parent/subsidiary arrangements and tort vs. breach of contract liability.
