Although New York’s enactment of the Limited Liability Company Law in 1994 was designed to facilitate the creation and operation of small businesses, vague or missing operating agreement provisions have resulted in ample litigation in the state courts. In this informal but informative discussion, the speakers will discuss key provisions to include and/or clarify in an LLC operating agreement depending on the client’s role in the company’s ownership, and pertinent court decisions reflecting the consequences of operating an LLC without them.
